“Can changes at Senior Management level be an opportunity to grow Management’s understanding of good governance?”
The Issue
This company had recently had changes at CEO and Senior Management level. The Chairman and the Board wanted to improve Management’s understanding of the role of Senior Management in Board meetings and the expectations of the Board.
Our Approach
Together with the Board, The Boardroom Practice reviewed the organisation’s strategy. This process identified a number of key result areas for the future. A set of protocols was set up for Board reporting and discussions held with Senior Management regarding the expectations, roles and responsibilities of Management in reporting to the Board.
The Outcome
The Board had greater comfort that Senior Management was focused on the areas that were going to make the greatest difference to the organisation. The Board papers were structured so that meetings were focused on these areas – and more time was spent collectively on adding value to the business.
